ห้างหุ้นส่วนจำกัด (Limited Partnership) หมายถึง ห้างหุ้นส่วนประเภทที่มีหุ้นส่วนบางคนรับผิดชอบเพียงไม่เกินจำนวนเงินที่ตนรับจะลงหุ้นในห้างหุ้นส่วนนั้นเท่านั้น ซึ่งห้างหุ้นส่วนจำกัดนี้จะต้องจดทะเบียนเป็นนิติบุคคล กิจการในรูปแบบของห้างหุ้นส่วนนี้จะแหล่งเงินทุนได้ง่ายกว่ากิจการเจ้าของคนเดียว เนื่องจากมีจำนวนเจ้าของมากกว่า แต่หากมีกำไร กำไรนั้นก็ต้องแบ่งให้กับหุ้นส่วนทุกคน หากขาดทุนก็จะต้องรับผิดชอบผลขาดทุนและหนี้สินของกิจการร่วมกันทุกคน
